1. Agreement
These Terms of Service ("Terms") govern your access to and use of the CloseScale website at closescale.com, waitlist, and software platform (collectively, the "Service") operated by CloseScale ("we," "us," or "our").
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Service Description
CloseScale helps web designers and agencies discover local business leads, generate custom website previews, and run automated outreach campaigns. Features, limits, and availability may change as we improve the product.
During early access or waitlist periods, certain features may be limited or unavailable until your account is activated.
3. Eligibility
You must be at least 18 years old and able to form a binding contract. By using the Service, you represent that you meet these requirements and that information you provide is accurate.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@closescale.com if you suspect unauthorized access.
5. Subscriptions and Billing
5.1 Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all paid orders. Paddle provides customer service inquiries and handles returns in accordance with these Terms and Paddle's policies.
Paid subscriptions are sold by Paddle.com Market Limited and/or its affiliates ("Paddle"), which act as the Merchant of Record. This means Paddle is the legal seller of your subscription, processes your payment, issues invoices, and collects applicable sales tax, VAT, or similar charges at checkout.

5.2 Plans and pricing
Current plans (Starter, Growth, Scale) are billed monthly or annually in USD as displayed on our pricing page. Annual plans are billed as a single upfront payment for 12 months. Prices may change for new subscriptions; we will give reasonable notice before changes apply to renewals.
Displayed prices exclude taxes. Applicable taxes are calculated and collected by Paddle at checkout based on your billing location.
5.3 Auto-renewal
Subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date. By subscribing, you authorize Paddle to charge your payment method on a recurring basis until you cancel.
You will receive a receipt and renewal notice from Paddle for each charge where required by law.
5.4 Usage limits
Each plan includes email send limits and feature access as described on the pricing page. Exceeding limits may require an upgrade or result in throttling until the next billing cycle.
6. Cancellation
You may cancel your subscription at any time. Cancellation is as easy as signing up:
- Use the subscription management link in your Paddle receipt or invoice email, or
- Contact us at hello@closescale.com from your account email
When you cancel, your subscription remains active until the end of the current paid billing period. You will not be charged again unless you resubscribe. We do not provide partial refunds for unused time in a billing period except as stated in Section 7.
7. Refunds
Refund requests are handled in accordance with these Terms and Paddle's buyer terms.
- Annual subscriptions: If you are unsatisfied, you may request a full refund within 14 days of your initial purchase or renewal charge. Contact hello@closescale.com or use the contact details on your Paddle receipt.
- Monthly subscriptions: Fees are non-refundable once a billing period has started. Cancel before your next renewal date to avoid future charges.
- Abuse: We may decline refunds where there is evidence of fraud, terms violations, or excessive usage during a refund window.
Paddle may process approved refunds to your original payment method. Refund timing depends on your payment provider.
8. Waitlist
Joining the waitlist does not create a paid subscription. Waitlist signup is free. We may email you about product updates, launch timing, and offers. You can unsubscribe from marketing emails at any time.
9. Acceptable Use
You agree to use the Service lawfully and only for legitimate business outreach. You must not:
- Send spam, unsolicited bulk email, or messages that violate CAN-SPAM, GDPR, CASL, or similar laws
- Harass, defraud, or mislead recipients
- Scrape, export, or resell lead data in violation of applicable law or third-party rights
- Impersonate others or send from domains you do not control or have permission to use
- Probe, disrupt, or compromise our systems or other users' accounts
- Use the Service for illegal, harmful, or offensive content
We may suspend or terminate accounts that violate these rules without refund.
10. Your Content and Outreach
You retain ownership of content you upload or generate through the Service. You grant us a limited license to host, process, and transmit your content solely to provide the Service.
You are solely responsible for your outreach campaigns, email copy, compliance with anti-spam and privacy laws, and obtaining any required consents from recipients.
11. Intellectual Property
CloseScale, our logo, software, documentation, and site design are owned by us or our licensors. These Terms do not grant you any rights to our trademarks or brand assets except as needed to use the Service.
12. Third-Party Services
The Service may integrate with third-party tools (email providers, calendars, data sources). Your use of those services is governed by their terms. We are not responsible for third-party outages or policies.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee specific lead volume, reply rates, booked calls, or revenue outcomes. Outreach results depend on your niche, offer, and market conditions.
14. Limitation of Liability
To the maximum extent permitted by law, CloseScale and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service.
Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD $100.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
15. Indemnification
You agree to indemnify and hold harmless CloseScale from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your outreach content, or your violation of these Terms or applicable law.
16. Suspension and Termination
We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if continued access poses legal or security risk. You may stop using the Service at any time.
Sections that by nature should survive (billing obligations, disclaimers, liability limits, indemnity) survive termination.
17. Changes to These Terms
We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes to paid subscriptions will be communicated with reasonable notice. Continued use after changes take effect constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Disputes will be resolved in the courts located in the United States, unless mandatory consumer protection laws in your country require otherwise.
For transactions where Paddle is Merchant of Record, Paddle's buyer terms may also apply to payment-related matters.
